Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Operator (the “Service”), provided by OC Automations LLC (“Company,” “we,” “us,” or “our”), a Oregon LLC, located at 37167 Coralburst St, Sandy, OR 97055. By creating an account or using the Service, you (“Customer,” “you”) agree to be bound by these Terms.
1. Description of the Service
Operator is a software-as-a-service product that allows Customers to connect their own GoHighLevel (“GHL”) sub-account(s) and interact with an AI-powered assistant (the “Operator agent”) through a chat interface to build, configure, and modify automations, workflows, custom fields, custom values, contacts, opportunities, pipelines, and related objects within their connected sub-account(s).
The Operator agent proposes action plans that require your explicit approval before any change is made to your connected sub-account. You are responsible for reviewing and approving or rejecting proposed plans.
2. Eligibility and Account Registration
You must be at least 18 years old and able to form a legally binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Connecting Sub-Accounts
To use the Service, you must provide credentials for your GHL sub-account(s), including a Private Integration Token and a Firebase-based authentication token obtained through the connection process we provide. You represent and warrant that:
- You have the legal right and authority to connect the sub-account(s) you provide, whether they are your own or belong to a client for whom you are authorized to act;
- You will not use the Service to connect sub-accounts you are not authorized to access; and
- You are responsible for complying with GoHighLevel’s own terms of service in connection with your use of your sub-account(s).
We are not affiliated with, endorsed by, or sponsored by GoHighLevel or its parent company. The Service relies in part on undocumented or internal GoHighLevel APIs, which GoHighLevel may change, restrict, or discontinue at any time without notice. We do not guarantee that any specific capability of the Service will continue to function if GoHighLevel changes its systems, and we will make reasonable efforts to adapt but cannot guarantee continuity of any specific feature.
4. Subscription Plans, Billing, and Usage
4.1 Subscription Tiers
The Service is offered under subscription tiers based on the number of connected sub-accounts, as described on our pricing page at the time of purchase. Pricing and tier structures may change; we will provide notice of material pricing changes before they affect your existing subscription’s renewal.
4.2 Usage-Based Actions and Overage
Each subscription tier includes a defined number of “actions” (each plan proposal or plan execution by the Operator agent) per billing period. Usage beyond your plan’s included actions will be billed as overage at the rate disclosed on our pricing page at the time of your subscription, either automatically charged to your payment method on file or subject to an upgrade prompt, as configured for your account.
4.3 Payment
All fees are billed in advance on a recurring monthly basis through our payment processor (Stripe) unless otherwise stated. You authorize us to charge your payment method on file for all fees, including recurring subscription fees and any usage overage charges.
4.4 Taxes
Fees do not include applicable taxes. You are responsible for any sales, use, or similar taxes associated with your subscription, excluding taxes based on our net income.
4.5 Changes to Connected Sub-Accounts
You may connect and disconnect sub-accounts subject to your plan’s seat limits. We reserve the right to monitor usage patterns and to take reasonable action, including requiring a plan upgrade or suspending accounts, where we reasonably determine that a Customer is using disconnect/reconnect cycling or similar practices to circumvent the intended limits of their subscription tier.

See our Refund & Billing Policy for full details. In summary: subscriptions may be canceled at any time and will remain active through the end of the current billing period; fees already paid are generally non-refundable except as described in that policy or as required by applicable law.
6. Acceptable Use
You agree not to use the Service to:
- Send unsolicited, harassing, deceptive, or unlawful communications (including SMS or email) to any person, including via automations built through the Service;
- Violate any applicable law, including telecommunications regulations such as TCPA, CAN-SPAM, or A2P 10DLC carrier requirements applicable to messaging sent from your connected sub-account(s);
- Attempt to reverse-engineer, decompile, scrape, or extract the underlying logic, prompts, or source code of the Service;
- Circumvent, disable, or interfere with security-related features of the Service, including usage metering or seat limits;
- Use the Service to connect a sub-account you are not authorized to access; or
- Resell or white-label the Service without our prior written consent.
We reserve the right to suspend or terminate accounts that violate this section, with or without notice, at our discretion.
7. AI-Generated Content and Actions
The Operator agent uses a third-party large language model (currently provided by Anthropic) to interpret your requests and propose actions. AI-generated plans and content may contain errors, and you are solely responsible for reviewing proposed action plans before approving them. We are not liable for any consequences resulting from actions you approve, including but not limited to changes made to your GHL sub-account, messages sent to your contacts, or data modified within your connected sub-account(s).
8. Data and Privacy
Our collection and use of information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Intellectual Property
We retain all right, title, and interest in and to the Service, including all software, designs, and content we provide, excluding your own data and content within your connected sub-account(s). You retain ownership of your own business data.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC AUTOMATION, TRIGGER, OR INTEGRATION WILL CONTINUE TO FUNCTION, GIVEN OUR RELIANCE ON THIRD-PARTY PLATFORMS (INCLUDING GOHIGHLEVEL AND ANTHROPIC) OUTSIDE OUR CONTROL.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OC Automations LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless OC Automations LLC from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right, including claims arising from messages or automations sent from your connected sub-account(s).
13. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your account at any time through your account settings or by contacting us.
14. Changes to These Terms
We may modify these Terms from time to time. We will provide notice of material changes (such as by email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.
